What Do You Actually Need to Set Up a Manufacturing Unit in India?

There is a checklist, and there is a sequence, and the sequence is the part nobody writes down. You can find a list of required approvals on twenty websites. What you will struggle to find is the order, and the order is what determines whether your unit opens in four months or fourteen. Consent to Establish is required before construction. Consent to Operate is required before production. Get those two the wrong way round in your planning and you will have built a shed you cannot legally run.

Work out at step one which product-specific licence you need. It is the variable that most changes your timeline.

    Decide the entity and register it

    Proprietorship, partnership, LLP or company. Everything downstream references this.

    Free, online, Aadhaar-linked, no renewal. Do this early, because it is the gateway to CLCSS, PMEGP, CGTMSE, GeM seller access and priority-sector lending. There is no reason to delay it and several reasons not to.

    Consent to Establish (CTE), from the State Pollution Control Board

    Before construction. You submit your plant layout, the manufacturing process, and your effluent and emissions plan. Your unit is classified Red, Orange, Green or White by pollution potential. White-category units are exempt from CTE and CTO but must still inform the board. This is the step people skip, and it is the step that gets units shut down.

    Industrial connections need your incorporation documents, land records and initial clearances.

    After the factory is built, before regular production starts. Involves a physical inspection.

    Required above ₹40L turnover for goods. Worth doing voluntarily below the threshold if your customers are businesses who need input tax credit.

    FSSAI for food. BIS for notified products. Drug licence for pharmaceuticals. These vary enormously and can be the longest pole in the tent, so identify yours at step one, not step ten.

The Mistake That Shuts Units Down

Entrepreneurs assume that Udyam registration or a factory licence covers environmental clearance.

It does not. They are separate regimes with separate authorities. Udyam is an MSME registration. A factory licence is a labour-and-safety permit. Pollution consent comes from the State Pollution Control Board under the Water Act and the Air Act, and neither of the other two substitutes for it.

Units with valid GST, valid Udyam and a sanctioned bank loan have been shut down for missing this.

There is a second-order consequence that catches people financially. Pollution Control Board clearance appears on the disbursement checklist for PMEGP, and environmental NOC documentation is required before final sanction under CGTMSE. So skipping the consent does not just risk closure. It can stall the money.

Apply for CTE before you pour concrete. There is no version of this that gets easier later.

What Most Articles Get Wrong

The listicles are accurate and useless.

They give you a flat list of ten licences with no dependency information, which implies you can do them in parallel, in any order, whenever. You cannot. CTE gates construction. CTO gates production. Utilities want your clearances. The factory licence wants your building plans, which want your layout, which wanted CTE.

The other omission is the threshold. A great deal of content states that a factory licence is mandatory for manufacturing, full stop. It is not. It applies above a specific worker threshold, and a small unit below that threshold is a home industry in law, needing a trade licence and Udyam rather than a factory licence. People spend money and months on a licence they did not need.
